DDPP Onboarding Service Terms
1. Who provides the service
For customers established in Türkiye: ZİNCİRX BİLİŞİM TEKNOLOJİ VE DANIŞMANLIK A.Ş., Gülbahçe Mah. Gülbahçe Cad. İYTE Sitesi No: 1/40 İç Kapı No: 51, 35430 Urla/İzmir, Türkiye (MERSİS 0999144137300001, Urla Tax Office 9991441373). For all other customers: ZincirX Inc., c/o Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, DE 19713, United States. "We" means the company that issues your invoice.
2. Business customers only
The service is sold only to companies and traders acting for their business. Consumer rights of withdrawal do not apply.
3. The packages
- Standard, €750: up to 2 battery models; a check of your organization in the DDPP Desk; GS1 Digital Link setup for your GTINs; one label layout; your first batch with up to 2,000 serial numbers loaded as item passports; one review call.
- Export, €1,500: up to 5 battery models; up to 20,000 serial numbers loaded through the API; label layouts for the battery and its packaging; an API client handed over with a sample script; two follow-up calls within 30 days of delivery.
- Not included: passport credits (bought separately at the prices on ddppeu.com/pricing); GS1 membership and GTINs (from your national GS1 organization); battery tests; translation of your documents; legal or regulatory advice.
4. Prices and taxes
Prices exclude VAT/KDV.
- Türkiye: invoiced by ZincirX A.Ş. in Turkish lira at the Central Bank of the Republic of Türkiye (TCMB) euro selling rate on the day you pay by card or, for a bank transfer, on the day we issue the invoice, plus KDV where it applies. The invoice for a bank transfer shows the lira amount and the IBAN; please pay within 7 days, otherwise we re-issue it at the new rate.
- Elsewhere: invoiced by ZincirX Inc. in euro. Where you must account for VAT or a similar tax yourself (for example under a reverse-charge rule), you do so.
5. Payment
The full price is due when you order. Work starts when we receive it.
- Türkiye: by card through iyzico at checkout, or by bank transfer to the ZincirX A.Ş. IBAN shown on the invoice.
- Elsewhere: by card through Stripe's checkout, or through a Stripe invoice on request.
6. What you provide
The data sheets of your battery models, your GTINs if you use them, the serial number list, and the data points the passport needs, in the templates we send you. You are responsible for the accuracy of this data and for your right to publish it.
7. Delivery time
Standard: within 10 business days. Export: within 20 business days. Both count from the day we confirm in writing that your input is complete. The time pauses while we wait for missing data or for your answers.
8. Acceptance
The delivery is accepted when your first batch is published, or 5 business days after we hand it over, unless within that time you tell us in writing about a specific defect. We fix such defects promptly and hand over again.
9. Cancellation and refunds
- You may cancel before the kickoff call and get a full refund.
- After the kickoff call the fee is not refundable.
- If we miss the delivery time in §7 by more than 10 business days for reasons within our control, you may cancel and get a full refund.
10. Extra work
Each battery model beyond your package: €150. Any other extra work (data clean-up, custom integration, additional calls): €90 per hour. We always quote extra work in writing before we start, and do it only with your approval.
11. What we do not promise
DDPP helps you prepare and keep battery passports. Whether a battery meets Regulation (EU) 2023/1542 depends on the battery, its tests and its data, and on the checks of the economic operator that places it on the EU market. We do not certify, approve or guarantee the conformity of any battery or passport, and the service is not legal advice.
12. Liability
Our total liability under these terms is limited to the fee you paid for the package. We are not liable for indirect or consequential loss, lost profit, lost business or fines. These limits do not apply where the law does not allow liability to be limited, such as for intent or gross negligence.
13. Your data
Your product data is handled under the DDPP Terms of Service and Privacy Notice (ddppeu.com/terms, ddppeu.com/privacy). We access your organization in the Desk only as far as the service needs.
14. Other terms
The DDPP Terms of Service apply to your use of the platform and of credits. Where they conflict with these terms about the onboarding service, these terms prevail. The terms in force on the day you order apply to that order.
15. Law and courts
- Orders from ZincirX A.Ş.: Turkish law; the courts and enforcement offices of İzmir have jurisdiction.
- Orders from ZincirX Inc.: the law of the State of Delaware; the courts located in Delaware have jurisdiction.
16. Language
The Turkish text of these terms governs orders from ZincirX A.Ş., and the English text governs orders from ZincirX Inc. Other language versions are translations for convenience.
